Carta bought Vauban because SPV formation was turning into the control point for private market flows, not just a back office service. If AngelList could keep turning investors into pooled vehicles at scale, it could own the investor relationship before Carta ever touched the cap table. Vauban gave Carta a ready made engine for launching SPVs and funds across the U.S. and Europe, especially for managers raising from international LPs.

  • Vauban mattered because it was already proven. Before the deal, it had created more than 400 investment vehicles and managed over $1B. Carta was not buying a feature, it was buying formation workflows, compliance plumbing, and a customer base already using software to stand up venture vehicles.
  • AngelList showed why this layer is strategic. It had already productized SPVs and related vehicles into a simple repeatable workflow, with standard SPVs priced around $8,000 to $10,000 and a broader stack for solo GPs and small fund managers. That made SPV creation a wedge into fund admin, LP management, and eventually liquidity products.
  • The international angle was not optional. Carta stated that more than half of U.S. SPVs and funds had at least one non U.S. LP, and Vauban added support for structures in the U.S., U.K., and BVI, with Luxembourg planned. In practice, that means handling cross border subscriptions, payments, and entity structures that a U.S. only workflow cannot easily support.

The next phase is a race to make SPVs invisible and ubiquitous. The winning platform will be the one that lets a manager or marketplace create a vehicle in software, accept money from investors globally, generate the paperwork automatically, and later support transfers or liquidity on top. That is why Sydecar, Carta, and AngelList all keep moving closer to the same formation layer.
