This bottleneck is really a distribution bottleneck, not a demand bottleneck. Monark can already surface investor demand for names like SpaceX and Stripe through brokerage partners, but the current SPV structure forces each vehicle to stay small, which keeps minimum checks high and caps how many investors any one deal can absorb. That makes regulatory timing a direct constraint on how fast pre-IPO access can move down market and become a mainstream brokerage product.

  • In practice, the 99 investor cap means a manager cannot keep slicing one hot pre-IPO deal into smaller tickets forever. Monark has said it wants minimums closer to $10,000, but the current limit often pushes minimums to $25,000 or higher, and sometimes far above that, because too few seats must absorb the whole deal.
  • The reason SPVs matter is that they keep hundreds of end investors off the company cap table. That is what lets platforms package one SpaceX or Anthropic block and resell pieces cleanly, while avoiding the company approval and transfer friction that slows direct secondary trades.

The next leg of private market growth comes from turning SPVs from scarce boutique wrappers into something that can absorb real retail volume. If investor limits rise and accredited investor rules broaden, Monark can push pre-IPO deals into lower minimums, more repeat participation, and eventually the same in app behavior that made public brokerage products scale.
