Counting leases as debt shows that WeWork was not a lightly levered software like growth story, but a deeply encumbered real estate operator where almost all enterprise value was already spoken for. The company had about $47B of non cancellable lease commitments in 2019, still roughly $45B at the start of 2020 after estimated exits, and the valuation work here deducts capitalized leases alongside net debt when moving from enterprise value to equity value.

  • WeWork signs 10 to 15 year building leases, renovates the space, then resells desks and offices on much shorter contracts. That duration mismatch means lease payments function like fixed financing obligations, even if accounting labels them operating leases. In a downturn, members can leave quickly, but rent checks to landlords keep going.
  • This is why small operating changes crush equity. The model shows a 5% drop in occupancy can wipe out about $3B of equity value, and in the SPAC analysis a 5% drop in long term occupancy cuts equity value by 60%. When fixed obligations sit above the equity, the residual becomes extremely thin.
  • Peers help explain the distinction. IWG and Servcorp can earn positive operating margins from mature flex space locations, which supports the idea that the site business can work. But WeWork had expanded so fast that only about 30% of sites were mature in 2019, leaving it with peer like unit economics underneath a far heavier lease stack.

Going forward, value creation depends less on headline revenue growth and more on shrinking the lease burden, maturing the portfolio, and shifting toward management and franchise revenue where landlords supply the asset. The more WeWork can earn fees without signing another long lease, the more enterprise value can start accruing back to equity instead of servicing fixed obligations.
