Carta is becoming harder to compete with because it is selling outcomes, not just seats. The software keeps the cap table, issues stock, and updates records, but the paid layer now includes analysts for 409A work, accountants for fund admin, and transaction specialists for tenders and liquidity programs. That lets Carta charge for both the system of record and the human work needed when private market workflows get messy or high stakes.

  • The clearest example is secondaries. Because Carta already stores the cap table and acts as transfer agent, it can invite sellers, reconcile records, and complete the legal share transfer inside one workflow. That turns what was once broker and lawyer coordination into a product plus service bundle.
  • This same pattern shows up in fund administration. Carta started in cap tables, then added ongoing accounting, LP reporting, capital call support, tax prep, and private equity reporting. In 2023, fund administration contributed about $100M of ARR versus about $250M for cap table management and 409A valuations, showing services are now a material revenue stream.
  • The competitive line is shifting. Pulley is still positioned more as founder friendly cap table software with migration help and scenario modeling, while Juniper Square has built a similar software plus service model in fund admin. That means Carta is no longer just compared on UI and pricing, but on who can run the back office with fewer external firms.

The next phase is deeper bundling across private markets. As more companies and funds buy software tied to in house service teams, the winning products will look less like standalone SaaS and more like operating systems with embedded labor. Carta is positioned to keep moving upmarket by turning every complex equity or fund workflow into a higher value software plus service contract.
