This points to a land grab for the workflow that sits next to the cap table, not just the cap table itself. In India, basic equity records alone are not a big enough wedge because many startups still patch things together with spreadsheets, lawyers, and company secretaries at relatively low cost. The bigger opportunity is to become the place where grants, board approvals, valuation reports, fundraising documents, and employee liquidity workflows all live in one system.

  • The actual job is messy and multi person. Founders, finance teams, law firms, and company secretaries all touch the same records. EquityList already expanded from cap tables into ESOP operations and data rooms, because storing grant letters, valuation reports, and fundraising docs in one place saves work every time a company raises, audits, or runs a buyback.
  • This follows the same playbook that made Carta bigger than a cap table tool. Carta used cap table data to sell 409A valuations, then broadened into ownership workflows and investor products. EquityList now markets valuation services, compliance tooling, and multi geography shareholder management, which shows the product has moved in the same direction since the interview.
  • The adjacent prize is private market liquidity and investment infrastructure. EquityList described a natural fit with AngelList India's investor network and early buyback workflows. In the US, companies like Carta and Sydecar pushed beyond issuer record keeping into SPVs, fund admin, and secondaries, because once a platform holds the ownership graph it can help power transactions around it.

The next phase is for equity software in India to turn into company back office software for ownership and capital. As more startups adopt formal ESOPs, run employee buybacks, and manage India, Singapore, and US entities at once, the winning product will be the one that handles the full chain from grant creation to valuation to transaction paperwork, not just the spreadsheet replacement.
