Buying Guideline turned retirement from a marketplace add on into a deeper system of record inside Gusto. A 401(k) is not just another employee perk. It needs payroll data every pay cycle, money movement, compliance testing, and annual filings. Owning that workflow lets Gusto raise revenue per customer, make switching harder, and look more like a full back office suite for small businesses, not just payroll.1 2 3 4

  • Guideline built its business around native payroll connections because 401(k) administration depends on clean pay stub data, contribution changes, reversals, and compliance checks tied to each payroll run. Before the acquisition, Guideline already treated Gusto, Intuit, and Rippling as key distribution and data partners.2
  • The economics were meaningful enough to buy rather than just partner. Gusto paid about $600M for Guideline, its largest acquisition, roughly 4.3x Guideline’s $140M ARR. That brought in a product that had reached about $120M ARR by mid 2024, with roughly $14B in assets on platform and employer paid subscription revenue.1 3 4
  • This also changes how Gusto competes. Rippling pushes a broader HR, IT, and payroll bundle, while retirement specialists like Human Interest still rely heavily on payroll platforms for distribution. By owning Guideline, Gusto captures more of that attach revenue itself and closes one more gap with all in one rivals and PEO style bundles like Justworks.1 3 5

The next step is more first party financial admin around the paycheck. As Gusto adds compliance, benefits, contractor payments, and retirement into one workflow, the product moves closer to being the operating system for SMB back office work, with 401(k) serving as a high trust, high retention wedge that supports even broader bundling over time.1 2
