Cerebras

Company Report
creating a structural dependency on a single counterparty for both revenue and ownership.

This setup turns OpenAI from a big customer into a company shaping Cerebras's cap table, cash flow, and product roadmap at the same time. The revenue side is concrete, OpenAI committed to buy 750MW of inference capacity over a multi year term, funded a $1B working capital loan to help build that capacity, and received warrants that vest as Cerebras delivers compute and fee payments. That means the same relationship driving growth also governs financing and ownership outcomes.1 2 3 4 5

  • The dependency is not just theoretical concentration risk. Cerebras disclosed that the OpenAI agreement covers capacity deployed in tranches through 2028, with terms of three or four years and OpenAI able to extend to five years total. If OpenAI slows demand or shifts workloads elsewhere, Cerebras does not just lose usage, it strands infrastructure built specifically for that commitment.1 3 4
  • The ownership link matters because OpenAI's upside grows as Cerebras performs. Cerebras said the warrant vests based on fee payments and can fully vest only if OpenAI exercises options up to 2GW. Outside reporting put the initial commercial commitment above $20B and estimated the stake could reach about 11%, making OpenAI both the main buyer and a meaningful beneficiary of Cerebras's equity appreciation.2 5 6 7
  • This looks different from a normal cloud supplier relationship. OpenAI is also buying massive Nvidia based capacity from AWS under a separate $38B partnership, and has said GPUs remain foundational while Cerebras serves ultra low latency use cases. That makes Cerebras valuable, but also clearly a specialized side tier inside a much broader OpenAI compute portfolio, not the core default stack.6 8 9 10

Going forward, the winners in AI infrastructure will be the companies that turn one anchor customer into a broader market, before that anchor gains too much leverage. Cerebras is already moving from selling a few $2M systems into cloud inference and wider distribution. The next step is proving that OpenAI is a launch customer, not the company the whole business quietly revolves around.8 10 11
