StartEngine monetizes tokenization
StartEngine
Tokenization matters because it lets StartEngine turn a one time fundraising relationship into a permanent back office and trading relationship. If a company raises on StartEngine, keeps its cap table with StartEngine Secure, mints its shares on chain under StartEngine controlled rules, and later trades on StartEngine Marketplace, StartEngine can charge at each step, on issuance, on ongoing recordkeeping, and when shares change hands.1 2 3 4 5
- The key enabler is control of the transfer agent layer. StartEngine Secure already keeps the official shareholder record and handles transfers for Reg CF, Reg A+, and Reg D issuers. ERC-1450 extends that role on chain by giving the registered transfer agent authority over minting and transfers, which is how tokenized securities stay compliant instead of trading like normal crypto tokens.1 2 3 4
- The competitive prize is simpler secondary trading. Traditional private stock deals often run through SPVs, brokers, and manual paperwork, which slows deals and adds fees. Tokenized models from PreStocks and Jarsy try to compress that stack into one digital instrument with smaller minimums and faster settlement. StartEngine is pursuing a more issuer aligned version by moving securities already on its platform onto its own rails.1 5 6 7
- The scale is meaningful if conversion happens. More than 400 assets and about $3B in securities are already being prepared for minting on StartEngine infrastructure. That is large enough to seed marketplace liquidity, but also focused enough to stay inside StartEngine's existing compliance perimeter, where it already has investor records, cap table data, and transfer workflows.1 2 3
The next phase is StartEngine becoming less like a crowdfunding site and more like a private market operating system. If tokenized issuance, custody, and trading all run through the same stack, revenue should shift toward recurring infrastructure fees and transaction volume, with stronger lock in for issuers and a much larger role in how private shares are created, held, and traded.1 2 5 7
