Interview
even earlier stage venture capital is looking at this market to buy up shares at a discount in companies that are healthy, but maybe raised at a too-large valuation in 2021.

This is what a valuation reset looks like when the company is still good but the paper price got ahead of the fundamentals. In practice, early stage and multi stage funds can buy stock from employees or seed investors at a price below the 2021 headline round, get into companies they missed the first time, and own more of the upside if the business keeps compounding and the next financing or IPO reprices the company more realistically.

  • Secondaries are becoming a portfolio management tool, not just a late stage cleanup event. Research on private liquidity laid out the same logic years ago, and later interviews showed early investors using recurring auctions and tenders to sell part of a position, return cash to LPs, and keep the rest riding.
  • The buyer is usually not purchasing a broken company. They are buying common shares from someone who needs liquidity, often an employee with concentrated net worth or an early fund nearing the end of its life. That seller accepts a discount because cash today matters more than waiting for the company to fully grow into its 2021 price.
  • This is why software enabled marketplaces matter. The market is still fragmented, but more structured disclosure, cap table data, and recurring issuer approved programs make it easier for smaller or earlier venture firms to diligence a company, compare bids, and actually close a trade instead of relying only on broker relationships.

The next phase is a broader buyer base for reset era private stock. As more companies stay private longer and more 2021 cohorts mature into steady growers, secondaries will look less like a niche side market and more like the normal way venture funds enter, exit, and resize positions between primary rounds.
