Kraken building regulated multi asset market stack
Kraken
This acquisition wave shows Kraken is trying to turn a crypto exchange into a regulated multi asset market stack all at once. NinjaTrader adds a large U.S. retail futures front end, Small Exchange adds a CFTC designated contract market, Backed brings the issuer behind xStocks, and Bitnomial adds a fully CFTC licensed derivatives company. The strategic upside is deeper liquidity and more products per account. The operational burden is stitching trading, clearing, issuance, compliance, and customer workflows into one system.1 2 3 4 5 6
- NinjaTrader is the biggest piece. Kraken agreed to buy it for $1.5B, then described Payward as a shared infrastructure layer powering Kraken, NinjaTrader, Breakout, xStocks, and CF Benchmarks. That means the job is not just adding revenue, it is merging identity, risk, liquidity, and settlement across brands.1 5 6
- The deals solve different regulatory bottlenecks. Small Exchange gives Kraken a U.S. derivatives venue, Backed verticalizes tokenized stock issuance for xStocks, and Bitnomial adds another CFTC licensed derivatives rail. Put simply, Kraken is buying licenses and market structure, not just customers.2 3 4 5
- This is a different playbook from crypto only exchanges like Coinbase and more like Robinhood or Nasdaq style market plumbing. Kraken has framed itself around professional traders and cross selling many products through one account, with 2.5M funded accounts and higher ARPU than Coinbase or Robinhood in prior research.6 7 8
Going forward, the win condition is a single account that lets a trader move from spot crypto to futures to tokenized equities and payments without leaving Kraken’s rails. If Kraken executes, these acquisitions turn mid tier exchange scale into a broader market utility. If it executes slowly, the complexity itself becomes the main competitive tax.5 6 7
