StartEngine is turning a one time fundraising event into a multi step financial relationship. A company can raise money on the marketplace, stay on StartEngine Secure to manage its shareholder ledger and filings for $250 to $350 per month, then give investors a place to trade shares later, while accredited buyers can be upsold into higher ticket StartEngine Private deals. That means the same issuer and investor can generate fees at issuance, administration, and liquidity.

  • The core advantage is owning the system of record after the raise. Once StartEngine Secure holds the cap table, the company already relies on StartEngine for transfers, compliance work, and shareholder updates, which makes secondary trading and follow on fundraising much easier to attach.
  • This is the same playbook that made Carta powerful. In private markets, the cap table is the underlying ledger of who owns what, and companies that control that ledger can layer on adjacent products. The difference is that StartEngine pairs ledger control with a live retail fundraising and trading venue, while EquityZen mostly earns one time transaction fees.

StartEngine Private became 57% of 2024 revenue, then $75.9M of $92.8M in the first nine months of 2025, while the rest came from issuer fees, transfer agent services, secondary trading, and equity fees.
