Brex’s sale price shows how far the market moved from rewarding fintechs for growth at any cost to paying for durable revenue and strategic fit. At its 2022 peak, investors priced Brex like a future public market winner at $12.3B. Capital One bought it for $5.15B after years in which growth slowed, the company worked to shift from card interchange toward software, and larger buyers gained leverage over standalone fintech valuations.1 2 3 4 5

  • The comedown was steep in percentage terms. Brex went from $7.4B in April 2021 to $12.3B in January 2022, then exited at $5.15B on April 7, 2026, roughly 58% below its peak. That still left the company above its 2019 $2.6B valuation, so the outcome was a reset, not a collapse.1 2 5
  • What changed was not just sentiment. Brex grew annualized revenue from about $312M in 2022 to $700M by August 2025, but it was still in the middle of proving that spend software, bill pay, and embedded finance could carry more of the business than interchange revenue tied to card swipes.2 3 4
  • Comparable fintechs saw the same multiple compression, but the strongest independents recovered by getting broader and more profitable. Ramp was marked down to $5.8B in 2023 before rebounding to far higher valuations as it expanded beyond cards, which helps explain why Brex became more valuable to a bank acquirer than to late stage private investors.3 6 7

Going forward, this sets a new template for venture backed finance software. The biggest outcomes will come from either building a multi product system of record for the CFO, or selling into a bank or platform that already has balance sheet, distribution, and compliance. Brex now has the second path, with more room to scale products than valuation optics.4 5 7
